Acceptance of Terms
By using Smart Nexus services or SmartERP implementations, you agree to these terms. If you do not agree, please discontinue use.
Services
We provide SmartERP implementation, customization, integration, training, and support. Scope, timelines, and deliverables are defined in project agreements.
User Responsibilities
You agree to provide accurate information, maintain account security, and comply with applicable laws. You are responsible for data you provide or upload.
Intellectual Property
All Smart Nexus branding, content, and deliverables remain our property unless otherwise agreed. Open-source components remain under their respective licenses.
Payments
Fees, payment schedules, and milestones are defined in your project SOW. Late payments may incur delays or suspension of services.
Confidentiality
Both parties must protect confidential information and use it only for the purposes of the engagement, except where disclosure is required by law.
Limitation of Liability
To the maximum extent permitted by law, Smart Nexus is not liable for indirect, incidental, or consequential damages. Our total liability is limited to fees paid for the services giving rise to the claim.
Termination
Either party may terminate for material breach if not cured within 30 days of notice. Upon termination, accrued fees remain payable and access to services may cease.
Governing Law
These terms are governed by the laws of Pakistan. Disputes will be subject to the exclusive jurisdiction of the courts in Karachi.
